Chapters Inc. was formed following the merger of Coles and SmithBooks, then Canada’s two largest bookstore chains. In 1994, Canadian General Capital and Pathfinder Capital purchased SmithBooks from Federal Industries, and later that year acquired Coles from Southam Inc. The strategy was to build a strong base company and use its financial strength to invest in the development of large format book superstores.
In April 1995, the merger of SmithBooks and Coles was finalized, and in November 1995, the new company, Chapters Inc. opened its first two book superstores and from there grew to become the largest book retailer in Canada, operating bookstores in all provinces, under the names Chapters, Coles, SmithBooks, and World's Biggest Bookstore. Shareholders agree to Chapters, Indigo merger at Annual General Meeting Chapters corporate name changes to Indigo TORONTO, Aug. 7 - Chapters Inc. ("Chapters") (TSE: CHP) shareholders overwhelmingly agreed to the merger of Chapters Inc. and Indigo Books & Music, Inc. ("Indigo") in a vote at Chapters Annual General Meeting held today. The majority of the independent Chapters shareholders, being shareholders other than Trilogy Retail Enterprises LP ("Trilogy"), Gerald Schwartz, Heather Reisman and parties related to them, voted 86% in favour of the merger. Indigo and Indigo Online Inc. shareholders previously voted in favour of the merger at their shareholder meetings in July. "We are thrilled that we are now able to move forward as one company", said Heather Reisman, the President and Chief Executive Officer of Chapters. "We will adopt the best practices of both companies and take advantage of substantial cost savings, synergies and efficiencies to create a unified, strong and viable company for our customers, shareholders and suppliers." Shareholders also voted in favour of changing the corporate name from Chapters Inc. to Indigo Books & Music Inc., ticker symbol IDG. The company will begin trading on the Toronto Stock Exchange under ticker symbol IDG shortly after the merger closes which is anticipated to be August 14. Under the terms of the proposed merger, Chapters will issue approximately 528,280 common shares to holders of the equity interests in Indigo and Indigo Online Inc. ("Indigo Online"). The closing price of Chapters common shares on The Toronto Stock Exchange (the "TSE") on Friday, August 3, 2001 was $7.10 per share. The agreement is conditional on a number of matters, including the receipt of necessary regulatory approvals and the approval of Chapters' and Indigo's debt holders.
